You have found a franchise opportunity you are excited about, you have read the disclosure document, and now the franchisor has handed you the franchise agreement. This contract will govern your business for years, as many franchise agreements last ten years or longer, and most franchisors expect you to accept their standard form. A thorough franchise agreement review for franchisees helps franchisees understand exactly what they are promising and what they receive in return. An attorney who knows how franchise systems operate can explain each provision and identify terms worth discussing with the franchisor. At Franchise.Law, our franchisee attorneys work side by side with you before you sign, so you can enter this new venture as an informed partner.

Federal Protections That Support Your Contract Review

The Federal Trade Commission Franchise Rule gives you several protections during the signing process. These include:

  • The Franchise Disclosure Document must include a copy of every proposed agreement related to the franchise offering, including the franchise agreement itself, in Item 22. See 16 Code of Federal Regulations § 436.5(v).
  • Item 17 must summarize key contract terms, such as renewal, termination, transfer, and dispute resolution, in a table. See 16 C.F.R. § 436.5(q).
  • If the franchisor makes unilateral and material changes to its standard agreement, you must receive the completed agreement at least 7 calendar days before you sign. See 16 C.F.R. § 436.2(b).
  • A franchisor may not disclaim, or require you to waive reliance on, any representation made in the disclosure document or its exhibits or amendments. See 16 C.F.R. § 436.9(h).

These rules protect you, but they do not guarantee that the deal is fair. The Franchise Rule focuses on disclosure, so the terms themselves are largely left to the parties and to any state laws that apply.

Key Terms We Examine in Your Franchise Agreement

When reviewing your franchise agreement, we focus on the provisions that affect your money, your flexibility, and your future. These include:

  • Term length and the conditions you must meet to renew
  • Initial fees, royalties, advertising fund contributions, and technology fees
  • Territorial rights and any exceptions the franchisor reserves
  • Your duty to follow the operations manual, which the franchisor may change over time
  • Transfer restrictions if you later want to sell your business
  • Default and termination provisions, including any cure periods
  • Non-compete covenants that apply during and after the term
  • Personal guarantees that may put your personal assets at risk
  • Choice of law, venue, and arbitration clauses

We compare each provision with the disclosure document to confirm they match. We also explain in plain language how each clause could affect your daily operations and your long-term plans.

How Does an Attorney Help With a Franchise Agreement Review?

Because we help franchisors draft and update these contracts, we know which provisions are standard and which may leave room for discussion. Many franchisors will not change their core terms, but some will consider requests on items such as opening deadlines, development schedules, or territory boundaries. We help you decide what to ask for, and we prepare an addendum when the franchisor agrees to changes. We take on franchisee matters only when they are transactional and only when no conflict of interest exists, such as when we already represent the franchisor you are evaluating.
